Each investment opportunity is:

  • Evaluated independently
  • Structured on a stand-alone basis
  • Structured through a dedicated special purpose vehicle (SPV)

Strategic partners may elect, as principals, to invest directly as shareholders alongside Covalent Capital in individual transactions.
Covalent Capital does not offer or arrange investments for third parties and does not act as an intermediary.
Covalent Capital invests its own capital alongside partners, as principals, in each transaction, ensuring strong alignment.

Each SPV is:

  • Independently governed
  • Managed by its own board of directors
  • Subject to defined shareholder and reserved matters

All material decisions — including acquisitions, funding, and exits — are approved at the SPV level.

Covalent Capital invests its own capital as a principal. In certain transactions, a limited number of sophisticated private and strategic investors may independently co-invest alongside Covalent Capital on a transaction-specific basis.

Covalent Capital does not operate pooled investment funds, blind capital vehicles, or discretionary investment mandates.
